DESCRIPTION:03/01/2025 \n  \n建议增加以下新制度： \n\n伊利诺伊州中部美国华人协会管理细则\n名誉主席制度\n高级顾问制度\n荣誉会员制度\n\n  \n  \n《伊利诺伊州中部美国华人协会管理细则》 \n  \n以下是根据《伊利诺伊州中部美国华人协会章程》（BY-LAWS）起草的《管理细则》，内容细化操作规范并确保与章程条款一致： \n第一章 会员管理 \n第1条 会员注册 \n\n申请人需通过协会官网或书面表格提交注册申请，附身份证明及联系方式；\n缴纳会员年费；\n董事会授权会员管理专员审核会员资格，通过后，完成会员注册。\n拉入会员微信群。\n\n  \n第2条 会费管理 \n\n年度会费标准由董事会每年2月底公示下一届金额；\n缴费方式包括银行转账、支票或线上支付，缴费凭证需存档备查；\n逾期未缴费者，会员管理专员适时把名单通报给董事会办公群。逾期达60天时，自动暂停其会员权利，请离会员群，并以电子邮件通知本人。\n\n  \n第3条 会员权益 \n\n正式会员可凭电子会员卡参与专属活动，享受合作商家折扣（清单每季度更新）；\n会员投诉建议需通过官网表单提交，会员管理专员须在10个工作日内书面回复。\n\n  \n第二章 会议管理 \n第4条 会议通知 \n\n会员大会通知须提前15天，通过电子邮件或短信或会员微信群通知。需会员大会表决的事项，须提前将表决事项送达给会员。\n年度会员大会，须提前把议程草案、本届董事会工作报告、财务简报以及需要会员大会表决的事项，送达给会员。\n\n  \n第5条 投票程序 \n\n线上投票系统需采用双因素认证，投票记录保存至少5年；\n委托投票书须经公证或由两名现任董事签字见证方为有效。\n\n  \n第6条 会议记录 \n\n秘书需在会后7日内整理会议纪要，经主席签字后上传至会员门户；\n涉密议题需单独标注，仅限董事会成员查阅。\n\n  \n第三章 董事会运作 \n第7条 董事职责 \n\n董事须履行职责，依时出席董事会。董事连续缺席3次会议且未请假者，自动触发罢免程序。\n董事对董事会或主席分配的工作，应适时向主席和董事会通报工作进展情况，每季度向董事会通报履职情况。\n在董事会办公群需要全体董事发表意见的事项，一般须在24小时内发表意见。\n利益冲突披露：董事涉及关联交易时需主动回避并记录在案。\n\n  \n第四章 财务管理 \n第8条 预算管理 \n\n财务负责人每年3月底提交本届预算草案，董事会在4月内表决通过；\n单项活动超预算20%需重新审批。\n预算外开支500美元及以上 的，需要董事会预授权。紧急情况可以事后追认。\n\n  \n第9条 审计要求 \n\n聘请独立注册会计师进行年度审计，报告在年度会议前公示；\n所有现金捐赠需开具收据并登记捐赠人信息。\n\n  \n第五章 特别制度衔接第11条 名誉主席 \n\n依《名誉主席制度》聘任。每年向董事会提交一份履职情况报告。\n名片印制需统一使用协会指定模板。 亦可在名誉主席主要工作名片上加印。\n\n  \n第10条 高级顾问 \n\n依《高级顾问制度》聘任。\n每年向董事会提交一份履职报告。\n\n  \n第11条 荣誉会员 \n\n依《荣誉会员制度》授予。\n出现不当行为时，董事会可即时暂停其福利并启动解聘程序。\n\n  \n第六章 通讯及媒体管理 \n第12条 对于协会设立或者以协会名义设立的通讯平台、媒体平台，由董事会授权专人管理，在工作人员发生变动时，应该由董事会安排合适人员接手管理。这些平台包括但不限于：协会网站、电子邮箱、微信公众号、微信视频号、社区微信群、微信会员群、Facebook 账户及其平台、X 账号、YouTube 账号、TikTok 账号、小红书账号等等，以保证协会宣传联络的有效性。 \n  \n第七章 附则 \n第13条 细则修订 \n\n本细则修订需董事会三分之二多数通过，并报下次会员大会备案；\n争议条款解释以章程优先，未尽事宜参照伊利诺伊州非营利组织法规。\n\n  \n第14条 生效日期 \n本细则经2025年3月1日会员大会审议通过后生效。 \n  \n  \n伊利诺伊州中部美国华人协会名誉主席制度 \n  \n为完善协会治理机制，凝聚社区力量，激励奉献精神，伊利诺伊州中部美国华人协会（以下简称“协会”）制定本制度，规范名誉主席的设立、聘任及职责。 \n  \n一、制度设立与修改 \n\n名誉主席制度的设立、修订或废止，须提交协会会员大会审议并经半数以上与会代表表决通过后方可生效。\n本制度最终解释权归属协会董事会。\n\n  \n二、设立名誉主席的目的： \n\n表彰贡献：认可历届主席对华人社区及协会发展的卓越付出。\n激励传承：鼓励卸任主席持续关注协会发展，并为继任者树立责任担当的榜样。\n强化纽带：借助资深领导者的社会影响力，提升协会与外部资源的合作效能。\n\n  \n三、任职条件 \n候选人须同时满足以下条件： \n\n曾任协会主席：完整担任主席职务至少一届，且在任期内推动协会取得显著发展。\n社会信誉良好：个人品行端正，无任何损害协会或华人群体声誉的不良记录。\n持续参与社区：卸任后仍积极关心当地华人群体福祉，并为协会发展提供实质性建议或支持。\n是协会的有效注册会员。\n\n  \n四、聘任与解聘程序 \n\n提名与审议：\n\n– 由现任董事会、主席或10名以上会员联名提名候选人； \n– 董事会审核资格并表决，获半数以上董事同意即通过聘任。 \n\n解聘条件：\n\n– 名誉主席严重违反协会章程或制度，发生严重损害协会利益行为；或者发生犯罪行为。 \n– 经董事会提议并表决，半数以上董事同意，撤销其称号。 \n  \n五、任期与续聘机制 \n\n任期：名誉主席任期与当届董事会一致，可连聘连任。\n续聘程序：\n\n\n当届董事会卸任前，需对现任名誉主席提出续聘或解聘建议，提交下届董事会审议；\n新任董事会依据其贡献与社区反馈作出最终决定。\n\n  \n六、权利与义务 \n权利： \n\n受主席或董事会委托，代表协会出席外部社会活动；\n对协会工作提出建议，但无日常事务决策权；\n在协会官网有公布，可以印制名片。\n\n  \n义务： \n\n恪守协会章程和制度，维护华人社区团结；\n积极参与社区公益事务，协助协会提升社会影响力。\n\n  \n七、附则： \n\n本制度自会员大会表决通过之日起施行。\n协会董事会需定期评估制度执行效果，并向会员大会提交修订建议。\n\n  \n  \n  \n  \n伊利诺伊州中部美国华人协会高级顾问制度 \n  \n为凝聚社会各界力量，整合优质资源，推动协会多元化发展，更好地服务华人社区，伊利诺伊州中部美国华人协会（以下简称“协会”）特设立**高级顾问制度**。具体条款如下： \n一、设立目的 \n\n资源整合：吸纳社会各界精英的智慧与资源，为协会战略发展提供支持；\n专业赋能：借助顾问的行业经验或社会影响力，提升协会项目执行效能；\n社区共赢：搭建跨文化、跨领域合作桥梁，促进华人社区福祉与社会融入。\n\n  \n二、任职条件 \n候选人应满足以下至少一项条件： \n\n社会影响力：在政界、商界、学术界或公益领域具有广泛公信力与号召力；\n专业能力：在协会关注领域（如教育、文化、法律、商业等）有突出成就或资源网络；\n贡献认可：曾为华人社区或协会发展作出重大资金、资源或政策支持。\n\n  \n其他要求： \n\n国籍、族裔不限，无需具备协会会员身份；\n个人信誉良好，无损害公共利益或社区声誉的不良记录。\n\n  \n三、聘任程序 \n\n提名：\n\n\n由协会董事会、主席或10名以上会员联名推荐候选人；\n提名需附候选人简历及对协会的潜在贡献说明。\n\n\n审议：\n\n\n董事会审核候选人资质，重点评估其与协会使命的契合度；\n\n\n聘任：\n\n\n经董事会表决获半数以上同意后，由协会颁发聘书并公示。\n\n四、职责与权利 \n职责： \n\n为协会战略规划、重大项目或社区服务提供专业建议；\n协助对接外部资源（如企业赞助、政策支持、媒体宣传等）；\n每年至少参与1次协会组织的社区活动或专项会议。\n\n  \n权利： \n\n受邀列席协会年度大会、董事会及与其专业领域相关的会议；\n经授权后，可使用“协会高级顾问”头衔参与社会活动；\n优先获取协会发展报告及社区需求信息。\n\n  \n五、任期与解聘 \n\n任期：每届任期与当届董事会任期相应，可连聘连任；\n自动退出：任期届满未获续聘者，自动终止顾问身份；\n提前解聘：\n\n\n若顾问出现重大失职、损害协会利益或违法犯罪行为，经董事会表决（半数以上同意）可提前解聘并公示。\n\n  \n六、附则 \n\n本制度自协会会员大会表决通过之日起生效；\n协会董事会保留对制度的解释权及修订建议权；\n高级顾问为荣誉职务，不领取薪酬，不承担协会日常管理责任。\n\n  \n  \n伊利诺伊州中部美国华人协会荣誉会员制度 \n  \n为表彰对协会及华人社区发展作出特殊贡献的非会员人士，弘扬奉献精神，增进社会合作，伊利诺伊州中部美国华人协会（以下简称“协会”）特制定本制度。 \n一、设立目的 \n\n表彰贡献：认可非会员个人或团体对协会及华人社区的支持与付出；\n激励参与：鼓励更多社会力量关注并参与协会公益事业；\n扩大影响：通过荣誉会员的社会网络，提升协会的公众认知与资源整合能力。\n\n  \n二、资格条件 \n候选人须满足以下全部条件： \n\n非会员身份：未被登记为协会正式注册会员；\n特殊贡献：符合以下至少一项标准：\n\n\n为协会提供重大资金、物资或资源支持；\n在政策倡导、公共宣传等领域为华人社区争取权益；\n长期参与协会志愿服务或项目执行，成效显著；\n\n\n社会信誉良好：无损害协会或华人社区声誉的不良记录。\n\n三、提名与聘任程序 \n\n提名：\n\n\n由协会董事会、主席或10名以上会员联名推荐，并提交贡献说明材料；\n\n\n审议：\n\n\n董事会审核候选人资质，重点评估贡献的实质性及持续性；\n\n\n表决：\n\n\n经董事会表决获半数以上同意后，正式授予“荣誉会员”称号。\n\n  \n四、权利与福利 \n\n免交会费：荣誉会员无需缴纳年度会费；\n会员待遇：\n\n\n受邀参加协会会员专属活动（如年度晚宴、文化节等）；\n优先获取协会刊物、活动通知及社区资源信息；\n使用协会公共设施（如活动场地、图书馆等，具体规则参照协会管理细则）；\n\n\n社会荣誉：\n\n– 在协会官网及公开文件中列示荣誉会员名单； \n– 经授权可使用“协会荣誉会员”称号参与社会活动。 \n  \n限制： \n\n不享有协会正式会员的选举权、被选举权及表决权；\n不得以荣誉会员身份干涉协会内部治理事务。\n\n  \n五、任期与解聘 \n\n任期：\n\n\n荣誉会员任期与董事会任期相应，届满时由董事会向下届董事会提交建议。\n\n\n解聘条件：\n\n\n出现严重损害协会利益或社区声誉的行为；\n经董事会表决半数以上同意，撤销称号并公示。\n\n\n六、附则 \n\n本制度自会员大会表决通过之日起生效，既往荣誉会员授予需符合新规要求；\n协会董事会每年复核荣誉会员资格，确保其持续符合条件；\n荣誉会员称号为公益性荣誉，不可转让、继承或用于商业目的。\n\n  \n伊利诺伊州中部美国华人协会                             3/1/2025
